Management/Governance Structure

Michael Moyo International is highly organized, and is divided into three divisions - from which all its subsidiaries are managed:

  • Investments Division
  • Charity & Social Welfare Division
  • Church Support & Development Division

The company has instilled the philosophy of Corporate Governance in all its divisions, which is a vital tool for performance targets while protecting all stakeholder interests. The fundamental principles such as independence, accountability, responsibility, transparency, fair and timely disclosures, credibility etc, serve as the means for implementing the tenets of Corporate Governance in letter and spirit.

For the smooth running of the company, the management/governance structure is as follows:

 

  • MANAGEMENT COMMITTEES

Each of the three divisions of the company has its own Management Committee, which is responsible for the day-to-day running of the particular division’s activities. Members are the divisional heads (directors), program managers, coordinators, field officers and managers of the common departments (or their representatives). Each Management Committee is chaired by the respective divisional director, who answers to the C.E.O, or in his absence, the Director of Operations. Coordination among the three divisions is done through the Director of Operation’s office.

The common departments, namely Finance, Human Resource, Legal & Corporate Affairs and Administration are all under the Director of Operation’s office. The C.E.O’s office provides direction and oversight of all the operations of the company, and all the three divisions are under this office.

  • BOARD OF DIRECTORS

Also known as the Directorate, and chaired by the C.E.O, this organ is responsible for policy formulation and the formation of all strategic plans. Members include the C.E.O, Director of Operations, Charity & Social Welfare Director, Church Support & Development Director, Investments Director, Director of Global Missions, and professionals drawn from different fields (also called Independent Directors, voluntarily serving for 2-year renewable terms). The appointing authority is vested upon the Directorate, as approved by the Council. 

  • GLOBAL MISSIONS SECRETARIAT 

Headed by the Director of Global Missions, the Global Missions Secretariat is mandated by the company's Council to monitor the international corporate social responsibility functions of the company. It is the main structure through which the Ecclesia Bank will offer funding to charity entities and church organizations globally. It comprises international law experts, international relations experts, financial advisers, researchers, humanitarian officials and ministers of the gospel - most of whom are non-executive or independent board members. 

  •  THE COUNCIL

Headed by the company’s Chairman, this is the supreme decision-making organ of the company, has the ultimate control of the company’s assets and is responsible for appointing members of the Directorate. The organ reviews all policies formulated by the directors, carry out periodic audits, offer technical advice where necessary and ensures the company keeps to its vision. This organ will be more instrumental as the company grows and expands into various branches. Members are the trustees/owners of the company.
